CERTIFICATES OF EXISTENCE REVISED, The New York State Department of State will be revising its certificates of existence for corporations and other entities. Effective September 7, 2010, certificates of existence issued by the Department of State for corporations and other business entities will be produced with a gray laser facsimile of the Department of State seal. The blue Department of State seal will no longer be used on the certificates of existence. Off site authorized service companies such as EMPIRE will continue to include a black facsimile of the Department of State seal.
SUBJECT: Legal Services- Please note that any business name which contains the phase "legal services" implies the practice of law and will be denied (e.g., Dan's Legal Services, Inc.) unless included in a professional service corporation or professional limited liability company name. An exception would be where the phrase is placed in a context which clearly implies otherwise, e.g.: Dan's Legal Services Supplies, Inc. This represents a departure from past practice insofar as the term "legal services" has been used in many general business corporation names. Such practice is now discontinued., NYS Dept of State, Division of Corporations.
SUBJECT: Holidays- The following is a list of the remaining State Holidays for 2010: September 6- Labor Day, October 11- Columbus Day, November 11- Veteran's Day Observed, November 25- Thanksgiving Day. Information regarding November 2, Election Day has not yet been assigned. We will advise you when a determination is made.
SUBJECT: Annual filing fees for LLC'S and LLP'S increase- New York State Tax Dept. has increased the annual filing levy for LLC's and LLP's. The State's new filing fee structure for limited liability companies is based on gross income. The new fees are $25 (if $0 to $100,000 of gross income), $50 (if more than $100,000 to $250,000), $175 (if more than $250,000 to $500,000), $500 (if more than $500,000 to $1 million), $1,500 (if more than $1 million to $5 million), $3,000 (if more than $5 million to $25 million) or $4,500 (if more than $25 million).
SUBJECT: Certificates of Dissolution- New York State Department of Taxation and Finance now requires all tax returns be mailed directly to the New York State Corporation Tax Processing Unit when you request a consent to a dissolution. This means that Empire will no longer be able to hand-deliver these returns. Once you receive the consent, mail the Dissolution with the consent to Empire and we will file it for you with the Secretary of State's office in Albany, New York.
